PTC Soars 33% on $22.6 Billion All-Cash Schneider Electric Buyout: “Certain and Compelling Value”

Schneider Electric agreed to acquire PTC for $205 per share in cash, about $22.6 billion in equity value and $23.7 billion including net debt, a 42.3% premium to Friday’s $144.03 close. PTC shares jumped 33% and still trade roughly 6% below the offer price. The transaction is expected to close by Q3 2027, subject to shareholder approval and regulatory clearance. Yahoo Finance

Why C.H Robinson Stock Was Tumbling Today

C.H. Robinson announced plans to acquire RXO for $5.8 billion including debt, funded 57% in cash and 43% in stock with roughly $3 billion of new debt; its shares fell 12.7% and RXO gained 21.9%. Management projected $300 million in net run-rate cost synergies within two years and accretion to adjusted EPS within nine months. The S&P 500 rose 0.66% to 7,773.95, the Nasdaq Composite 1.05% to 27,477.31 and the Dow 0.18% to 51,267.90, while the VIX rose 0.21 to 15.52. Materials (+1.31%), Communication Services (+1.17%) and Energy (+1.00%) led sector performance, with Real Estate (-0.34%) the only decliner. Rates were the counterweight: the 10-year yield rose 3bp to 5.31% and the 30-year 3bp to 5.66%, with the 2-year up 1bp to 4.84% and the 5-year unchanged at 5.06%. The ISM services PMI for September came in at 54.9, down from 55.4 in August, while its prices index rose to 74 from 72.6. Brent’s December contract settled at $100.32 (-1.89%) as, per CNBC, rising Middle East crude exports and the planned G7 stock release added supply; gold fell 0.12% to $4,157.40 (1:30 PM ET print) and the dollar firmed (DXY +0.25% to 102.14). Among individual names, PTC (+33.49%) led S&P 500 gainers on Schneider Electric’s all-cash offer, followed by Illumina (+7.56%) and Charles River Laboratories (+7.09%), while C.H. Robinson (-10.85%) led decliners on its RXO acquisition announcement, ahead of Lennar (-6.73%) and Chipotle (-4.67%). The week ahead centers on the August trade balance and a $58bn 3-year note auction on October 6, the minutes of the September 15-16 FOMC meeting alongside a $39bn 10-year reopening on October 7, weekly jobless claims and a $22bn 30-year reopening on October 8, and the preliminary University of Michigan sentiment survey on October 9.
