What was announced
On June 1, 2026, Anthropic announced that it had confidentially submitted a draft registration statement on Form S-1 to the SEC. The announcement was made under Rule 135 of the Securities Act of 1933, which permits a notice of a proposed offering without disclosing terms. Per the notice, the number of shares and the offering price have not been determined, and the offering is subject to market conditions and SEC review.
This was a company announcement, not a leak. The draft itself has not been made public.
Reported figures
Press coverage cites a post-money valuation of roughly $965 billion following a $65 billion Series H round. These figures come from media reports and the company's funding announcements, not from a public registration statement, and should be treated as unaudited until the S-1 is on file.
Why it is not on EDGAR
Confidential draft submissions are non-public and do not appear in EDGAR or SEC full-text search. The issuer must file the registration statement publicly at least 15 days before the roadshow begins. That public S-1 is the first point at which audited financials, risk factors, share structure, use of proceeds and customer concentration become verifiable.
What to watch when it goes public
- Revenue and gross margin trajectory, and the share of compute commitments relative to revenue.
- Concentration in cloud and chip suppliers and the terms of related-party arrangements with strategic investors.
- Share class structure, governance provisions and any lock-up terms.
- Use of proceeds, and whether the offering is primary, secondary or both.
- Amendments (S-1/A) as the price range is set, and the final 424B4 prospectus at pricing.
Positioning context
Reports indicate other large AI and technology issuers are on similar timelines, including SpaceX, which reportedly filed publicly on May 20, and OpenAI, reportedly filing confidentially. Timing for each remains subject to market conditions.

Tormere will track the public S-1, S-1/A and 424B filings on the S-1 page once they appear on EDGAR.
